Job Description

Job Title: Head, Legal and Company Secretary

Job Objectives

• To provide legal counsel and support to the Bank as it relates to contracts, litigation and dispute resolution, credit and employment issues and to prevent reputational risk among the Bank’s stakeholders

Main Responsibilities include:

• Review all documents presented for draw down on credit facility to ensure that the bank’s interest is adequately protected and conditions precedent met before disbursement
• Be responsible for preparing, reviewing, analysing and negotiating legal, credit and security related documents
• Act as a liaison with outside counsel
• Ensuring the due perfection and protection of the Bank’s interest in securities and the Bank owned properties
• Receive court processes from different units/branches
• Render legal support on all out of court settlement negotiations
• Coordinate the response to external solicitors on the Bank’s case or defense on matters in court and advise management on the outcome judgment for or against the bank
• Provide appropriate legal support to the Bank remedial
• Assist Group in recovery of credit facilities
• Provide advisory services to the various units and sections of the Bank on their activities
• Conduct Annual quality assurance review of the Bank’s facility and security documentation
• Conduct periodic performance assessment review of external counsels retained by the Bank
• Responsibility for maintaining the company’s statutory books and records
• Minutes of general meetings and board meetings
• Ensure the security of the company’s legal documents. Coordinate board meetings and all services relating to corporate governance

Qualification Required & Experience

• Minimum education, a good first degree in Law and BL
• A recognized legal professional certification/association will be an added advantage
• Minimum of 8 years post qualification experience in legal within the financial services industry of which at least 5 must have been in the Banking Sector and 5 years must have been at a senior management level
