Job Title: Legal Manager

Key Responsibilities

•   Responsible for the effectively delivery of the Company’s legal and regulatory advice, support and service and services across all activities of the Company
•   Responsible for identifying areas of risk for the Company in relation to a broad range of matters and provide solutions to manage risk
•   Monitor and report on the extent of compliance with regulatory, statutory and contractual obligations
•   Participate in contract negotiations
•   Draft and review contracts
•   Represent the Company and its employees on both civil and criminal matters to ensure the protection of the corporate interest at all times
•   Prepare monthly / quarterly and annual legal report(s)

Job Title: Board Secretary

Key Responsibilities

•   Organise Board and committee meetings in consultation with the Chief Executive Officer and the Board Chairman
•   Take minutes of proceedings at meetings
•   Guide the Board collectively and individually as to their duties and responsibilities
•   Make Board members aware of all relevant regulations and legislations related to their functions
•   Prepare meeting aware of all relevant regulations and legislations related to their functions
•   Provide inputs for the preparation of Board work plan (calendar of activities)
•   Coordinate management reports for consideration by the board

•   Respond to alleged violations of rules, regulations, policies, procedures and Standards of Conduct by evaluating or recommending the initiation of investigate procedures
•   Monitor, and as necessary, coordinate compliance activities of other departments
•   Identify potential areas of compliance vulnerability and risk
•   Develop / implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid or deal with similar situations in the future
