With over 160 branches spread across the Districts in the Country, our Client offers exciting and rewarding career opportunities to highly skilled and talented individuals and requires high caliber banking professionals to fill the following Senior Management position:<\/p>\n<p><strong>Job Description<\/strong><\/p>\n<p><strong>Job Title: Company Secretary<\/strong><\/p>\n<p><strong>Job Purpose:<\/strong><\/p>\n<ul>\n<li>The Company Secretariat provides strategic communications and guidance to Board Members collectively and individually with respect to their duties, responsibilities and ensures that the Bank complies with the Bank\u2019s Regulations and all relevant statutory laws and regulations.<\/li>\n<li>The role holder ensures that information about stakeholders\u2019 legitimate needs, interests and expectations are met.<\/li>\n<\/ul>\n<p><strong>Key Responsibilities and Accountabilities:<\/strong><\/p>\n<ul>\n<li>Schedule Board and Committee meetings and ensure Directors are available to attend.<\/li>\n<li>Collaborate with Board Chairman, Managing Director and internal stakeholders in creating, maintaining and revising agendas for meetings.<\/li>\n<li>Prepare background materials for Annual Board evaluations.<\/li>\n<li>Advise Directors\u2019 responsibilities including fiduciary obligations, regulatory and legal requirements compliance and Corporate Governance.<\/li>\n<li>Responsible for Coordinating activities for the Annual General Meetings (AGM) of Shareholders.<\/li>\n<li>Liaise with the Ghana Stock Exchange to ensure compliance with Stock Exchange listing standards, including timely reporting.<\/li>\n<li>Record deliberations and decisions of minutes at meetings.<\/li>\n<li>Improve Shareholder communications by collaborating with Share Registry Department to update records and disseminate information.<\/li>\n<li>Assist resolve shareholder business- related issues with the Bank to maintain the good image and reputation of the Bank.<\/li>\n<li>Assist the preparation of the Bank\u2019s Annual Report and prepares the Notice of AGM for publication.<\/li>\n<li>Ensure compliance with Bank\u2019s Regulations; SEC\u2019s Regulations; companies Act; Stock Exchange Rules and Banking Act to avoid queries\/penalties.<\/li>\n<\/ul>\n<p><strong>Age Limit:<\/strong><br \/>\nBetween 45 \u2013 55 years<\/p>\n<p><strong>Required Skills or Experience<\/strong><\/p>\n<ul>\n<li>A minimum of first degree in the Law.<\/li>\n<li>A working knowledge of the banking sector local or International will be an added advantage.<\/li>\n<li>A full or partial qualification from the Institute of Chartered Secretaries &amp; Administrators is desirable.<\/li>\n<li>A minimum of ten (10) years\u2019 relevant experience with at least five (5) years in a Senior Management role preferably in the financial sector.<\/li>\n<\/ul>\n<p><strong>Core and Technical Competencies Required<\/strong><\/p>\n<ul>\n<li>A good understanding of the banking industry and a clear view of the long-term direction of the Bank (via collaborative working with other business units).<\/li>\n<li>Excellent Communication, Listening and Interpersonal skills.<\/li>\n<li>Detail-oriented with an initiative.<\/li>\n<li>Strong organizational, Administration and Time Management Skills.<\/li>\n<li>Ability to prioritize and organize work effectively to meet deadlines.<\/li>\n<li>Exceptional ability to build trusted relationships and tolerant of contradictory viewpoints.<\/li>\n<li>Demonstrable understanding of Corporate Governance applicable to listed companies.<\/li>\n<li>Knowledge of the Bank\u2019s Regulations, Ghana Laws and regulations, Banking Act, provisions of the Securities &amp; Exchange commission and Stock Exchange rules.<\/li>\n<li>Ability to assimilate and handle large volume and confidential information.<\/li>\n<li>Ability to keep abreast of regulatory and governance developments.<\/li>\n<li>Proficient computer skills (i.e. Word, Excel and PowerPoint).<\/li>\n<\/ul>\n<p><strong>How to Apply<\/strong><\/p>\n<p>Applicants may send their curriculum vitae and a short application referring to the role to the following address:<\/p>\n<p><strong>Senior Management Advert, <\/strong><br \/>\n<strong>Box 393, Kanda,<\/strong><br \/>\n<strong>Accra<\/strong><\/p>\n<p>or email:<strong>info@pentaxglobal.com<\/strong><br \/>\nNB. please note that only shortlisted candidates would be contacted.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>A renowned and leading financial institution with an International presence and also in all the cities and most towns in the Country.
