Because whenever you join, however long you stay, the exceptional EY experience lasts a lifetime.<\/p>\n<p><strong>Job Description<\/strong><\/p>\n<p><strong>Job Title:\u00a0Core Business Services \u2013 Assistant Director \u2013 Legal<\/strong><\/p>\n<p><strong>Job Summary<\/strong><\/p>\n<p>Responsible for assisting in driving legal projects and activities relating to the General Counsel\u2019s Office function, servicing Ghana and assisting the General Counsel with servicing Africa \u2013 with special emphasis on reviewing and negotiating various contracts and providing internal legal advice to other teams across service lines while adhering to EY\u2019s internal policies (both locally and internationally).<\/p>\n<p>The candidate will report to the General Counsel, West Africa Region (GCO).<\/p>\n<p>Duties and responsibilities will include the following:<\/p>\n<p><strong>General Counsel Office (GCO):<\/strong><\/p>\n<p>The Legal Manager will assist the GCO with the following tasks in Ghana and the West Africa Region of EY, and across all service lines in the EY West Africa Region \u2013<\/p>\n<ul>\n<li><strong>General<\/strong>\u00a0\u2013 Drafting and negotiating various agreements across audit and advisory service lines, including global framework agreements, local implementation agreements, service level agreements, technology agreements, intellectual property agreements, procurement agreements, confidentiality agreements and data usage agreements;<\/li>\n<li>Ability to advise engagement teams on all current commercial contracts (e.g. Structuring, development of templates);<\/li>\n<li>Reviewing and contributing to drafting firm policies including authority and delegations framework;<\/li>\n<li><strong>Litigation<\/strong>\u00a0\u2013 Assist in the coordination of litigation matters in close relationship with Africa Regional General Counsel and relevant Quality Service Line Leader (including risks and prospects analysis and briefing external legal counsel);<\/li>\n<li>Providing advice to business units on potential claims as well as forming part of special ad hoc panels to manage the risk of potential claims;<\/li>\n<li>Providing input\/reporting to legal risk committee;<\/li>\n<li>Assist the GCO in rendering services of the following to the service lines:<\/li>\n<li>Reviewing and negotiating Engagement letters, suggested clients changes to, and of amendments to EY\u2019s standard terms and conditions,<\/li>\n<li>Terms of Business, Reviewing, negotiating and drafting various agreements across various service lines (including Advisory, Tax, Transactions, and Assurance) including but not limited to \u2013 Hold harmless letters,<\/li>\n<li>Confidentiality and Request for Tenders, Bid submissions or Request for Proposal,<\/li>\n<li>Reviewing various agreements inclusive of the following type of agreements:<\/li>\n<li>Sponsorship Agreements<\/li>\n<li>Non-disclosure agreements<\/li>\n<li>Service level agreements<\/li>\n<li>Global framework agreements<\/li>\n<li>Responses to requests for proposals\/bids<\/li>\n<li>Teaming agreements<\/li>\n<li>Consortium agreements<\/li>\n<li>Subcontractor agreements<\/li>\n<li>Service provider Agreement<\/li>\n<li>Secondment Agreements<\/li>\n<li>Memorandum of Understanding<\/li>\n<li>Any other bespoke agreement required by the service lines<\/li>\n<li>Consider the legal risks in the agreements inclusive of Limitation of Liability \u2013 request to exceed normal limit;<\/li>\n<li>Provision of internal legal opinions to as requested by the service lines or the General Counsel negotiation, drafting\/reviewing of agreements and other legal documentation;<\/li>\n<li>Assistance dealing with managing disputes and litigation matters(commercial) , and compliance, legislative and regulatory requirements as requested by the General Counsel;<\/li>\n<li>Consultations and drafting of all types of contracts and agreements but specifically those in respect of business relationships, consortia, subcontracting arrangements, alliances and secondments;<\/li>\n<li>Dealing with summons and claims brought against the firm;<\/li>\n<li>Manage the Master Template Database of contract and other legal precedents;<\/li>\n<li>Assist in the maintenance of a register of legal work done;<\/li>\n<li>Assist in the maintenance of register of deviations from standard contract terms;<\/li>\n<li>Drafting and research for legal opinions. Research on matters as required by the General Counsel<\/li>\n<li>Assistance with Projects as undertaken by the GCO;<\/li>\n<li>Assistance with the notification of claims and circumstances project done twice a year<\/li>\n<li>Liaison with external legal practitioners, and Ernst &amp; Young (EMIA) and Global (EYG), where appropriate;<\/li>\n<li>Attending to data privacy review of EY applications;<\/li>\n<li>Assistance with selected areas of compliance issues;<\/li>\n<li>Assist with legal support and research to the Africa EY practices on various legal matters;<\/li>\n<\/ul>\n<p><strong>Qualifications, Education and Certification<\/strong><\/p>\n<p>To qualify, candidates must have:<\/p>\n<ul>\n<li>Bachelor of laws degree<\/li>\n<li>Solid commercial drafting, reviewing and negotiating skills<\/li>\n<li>Business acumen<\/li>\n<li>Experience within a similar industry sector and\/or financial services will be an added advantage<\/li>\n<li>Exposure across the African continent would be beneficial<\/li>\n<li>Top administration skills with a high proficiency in the use of Microsoft office programmes<\/li>\n<li>Excellent relationship skills which sometimes may be tested when dealing with pressure<\/li>\n<li>Assertive, proactive and energetic<\/li>\n<li>Willingness to work overtime when necessary<\/li>\n<li>Strong team player<\/li>\n<li>Strong organisational and project management skills<\/li>\n<li>Well rounded corporate and commercial experience<\/li>\n<li>Experience in an auditing firm and with compliance and company secretarial matters will be an advantage<\/li>\n<li>Adaptive and ability to think on your feet<\/li>\n<li>Decision making capabilities<\/li>\n<li>Ability to manage with matters with little or no assistance<\/li>\n<li>Flexibility to travel if required<\/li>\n<\/ul>\n<p><strong>Key Requirements<\/strong><\/p>\n<ul>\n<li>Qualified to practice law in Ghana.<\/li>\n<li>At least 5 years of post-qualification legal experience, preferably with an international law firm and\/or multi-national corporation<\/li>\n<li>Ideally, in-depth experience of the professional services industry.<\/li>\n<li>Developed commercial awareness with an outcome orientated approach and the ability to apply legal principles pragmatically.<\/li>\n<\/ul>\n<p><strong>Other Personal Characteristics<\/strong><\/p>\n<ul>\n<li>Unquestioned ethics and integrity.<\/li>\n<li>High level of self-confidence and energy.<\/li>\n<li>High level of intellectual agility, initiative, self-motivation, resourcefulness, and patience.<\/li>\n<li>Pragmatic with strong business acumen.<\/li>\n<li>Strong analytical skills.<\/li>\n<li>Strong organizational skills with attention to detail<\/li>\n<\/ul>\n<p><strong>Who we are<\/strong><\/p>\n<p>At EY we support you in achieving your unique potential both personally and professionally.
