Job Title: Manager, Company Secretariat<\/strong><\/p>\n

Job Summary:<\/strong><\/p>\n

\u2022 Responsible for supporting the company secretariat to ensure compliance, good corporate governance, and the management of the company\u2019s records, reports, and related communication.
\n.
\nJob Role<\/strong><\/p>\n

\u2022 Support the end-to-end Board process, by ensuring high quality papers are circulated to Directors.
\n\u2022 Responsible for minutes drafted on timely basis with all Board actions duly and clearly documented and proactively followed per assigned.
\n\u2022 Facilitate and\/or participate in interactions with Regulatory bodies, Registrar General, Securities and Exchange Commission and Ghana Stock Exchange as assigned.
\n\u2022 Ensure continuous update of tailored induction programs for all newly appointed Directors.
\n\u2022 Offer advisory services for Directors relevant trainings to build directors capacity.
\n\u2022 Maintain a training catalogue and register for all trainings rolled to Directors.
\n\u2022 Coordinate the administration of Annual General Meetings ensuring compliance with Companies Act, Constitution and Policies of the Company.
\n\u2022 Filing of statutory returns and other relevant documents at the Registrar General\u2019s Department, Ghana Stock Exchange and other relevant bodies.
\n\u2022 Organize and maintain documents in paper and\/or electronic filing system.
\n\u2022 Review of related charters, terms of reference and policies to align with Companies Act, related laws and regulations and Companies\u2019 Constitution
\n\u2022 Review of new laws impacting corporate governance, Scancom Plc and its subsidiaries.
\n\u2022 Assist with Board Evaluations and analysis of feedback to inform performance requirements.
\n\u2022 Management of Insider trading Register with relevant stakeholders
\n\u2022 Input into the Policies, Processes and Procedures of the Company Secretariat
\n\u2022 Draft letters\/ resolutions and documents in accordance with the Companies Act and business needs as required by the Company Secretary
\n\u2022 Conduct research on related business areas to ensure compliance and alignment with best practices, including collation and analysis of statutes, decisions, legal articles, codes, documents, and other data related to the Telecommunication and ICT industry.
\n\u2022 Network, build solid relationships and develop a close working relationship with internal and external stakeholders to provide an integrated service.
\n\u2022 Champion the use of the Delegation of Authority Matrix across the organization.<\/p>\n

Participate in the review of related Business Processes internally and externally to drive efficiency gains and meet overall business objectives.<\/p>\n

Qualification Required & Experience<\/strong><\/p>\n

\u2022 A Degree in Law and a qualifying certificate in Law (ie. Bar Exams etc.)
\n\u2022 Institute of Chartered Secretaries and Administrators (ICSA)\/ Chartered Governance Qualifying Program (CGQP) is a plus.<\/p>\n

Experience<\/strong><\/p>\n

\u2022 6 years relevant Experience
\n\u2022 Experience in a Company Secretarial role is an added advantage.
\n\u2022 Experience engaging with securities commission is an added advantage.<\/p>\n

Professional\/Technical competencies:<\/strong><\/p>\n

\n\u2022 Information Management
